terms of use
Terms of use - Vitatyme
Effective Date: January 1, 2026
These Terms of Use (“Terms”) constitute a legal agreement between you and Vitatyme Nutraceuticals LLC, doing business as Vitatyme (“Vitatyme,” “we,” “us,” or “our”), with a business mailing address at 840 S. Rancho Dr., Suite 4, Las Vegas, Nevada 89106, and a contact email address of info@shopvitatyme.com.
These Terms govern your access to and use of www.shopvitatyme.com, including its webpages, customer accounts, subscription-management features, content, products, events, programs, and related services (collectively, the “Website”).
Please read these Terms carefully. By accessing or using the Website, creating an account, or placing an order, you acknowledge that you have read and agree to these Terms. If you do not agree, you must not use the Website, create an account, or place an order.
Certain transactions and provisions—including recurring subscriptions, arbitration, promotional programs, event participation, and optional marketing permissions—may require additional disclosures or separate affirmative consent. When additional terms are properly presented and accepted, those terms become part of your agreement with Vitatyme.
1. OUR DETAILS The business information stated above forms part of these Terms. Through the Website, Vitatyme offers dietary supplements, wellness and beauty products, merchandise, subscriptions, events, educational content, promotional programs, and related goods and services.
2. YOUR RESPONSIBILITY FOR YOUR ACCOUNT AND DEVICE
You are responsible for activity conducted through your account and for maintaining reasonable control over any device used to access the Website. You must ensure that anyone using your account or device with your authorization understands and complies with these Terms.
You must promptly notify Vitatyme if you believe that your account, password, payment information, or other credentials have been lost, stolen, compromised, or used without authorization. Vitatyme is not responsible for losses caused by your failure to safeguard your account credentials, except to the extent otherwise required by applicable law.
3. OTHER DOCUMENTS GOVERNING YOUR USE OF THE WEBSITE
Your use of the Website is also governed by our Privacy Policy, available at https://shopvitatyme.com/pages/privacy, and our Cookies Policy, available at https://shopvitatyme.com/pages/cookies.
Additional policies, disclosures, subscription terms, promotion rules, event releases, product instructions, and other terms may apply to particular products, programs, purchases, or services. When properly presented and accepted, those additional terms are incorporated into these Terms by reference. If specific terms conflict with these general Terms, the more specific terms will control with respect to the applicable product, program, purchase, or service.
4. CHANGES TO THESE TERMS
Vitatyme may revise these Terms periodically to reflect changes to the Website, products, services, business practices, technology, or applicable legal or regulatory requirements. The effective date displayed with the Terms will identify when the most recent revision became effective.
Non-material changes may become effective when posted. When changes materially affect your rights or obligations, Vitatyme will provide reasonable notice when required and may request your affirmative consent. Continued use of the Website after properly notified changes become effective constitutes acceptance to the extent permitted by applicable law.
Changes will apply prospectively and will not retroactively alter the terms governing a completed purchase, previously processed subscription order, or dispute that arose before the revised Terms became effective unless you expressly agree or applicable law permits otherwise.
5. YOUR ACCOUNT DETAILS
Certain Website features, including subscriptions and customer-management tools, may require an account. You agree to provide complete, current, and accurate information and to update that information when it changes.
You are responsible for safeguarding your login information and may not sell, transfer, share, or permit unauthorized access to your account. Vitatyme may require identity, payment, or account verification when reasonably necessary to protect customers, prevent fraud, comply with law, or maintain Website security.
6. OWNERSHIP OF VITATYME MATERIAL
Except for Customer Content, creator content, third-party materials, and other content expressly identified as belonging to someone else, the Website and its contents—including the Vitatyme name, trademarks, logos, product names, designs, photographs, graphics, videos, copy, product descriptions, layout, software, and other materials—are owned by or licensed to Vitatyme and are protected by intellectual-property and unfair-competition laws.
No ownership rights are transferred to you by your use of the Website. You may not reproduce, modify, distribute, sell, license, publish, exploit, remove ownership notices from, or create derivative works from Vitatyme material except as expressly authorized in writing or permitted by applicable law.
7. RELIANCE ON INFORMATION AND CONTENT
Website content is provided for general informational and educational purposes. It is not medical advice and is not intended to replace consultation, diagnosis, treatment, or guidance from a qualified physician, pharmacist, registered dietitian, mental-health professional, or other licensed healthcare provider.
You should consult an appropriate healthcare professional before beginning a dietary supplement, particularly if you are pregnant, nursing, attempting to become pregnant, under medical supervision, taking medication, preparing for surgery, have an existing physical or mental-health condition, have allergies or sensitivities, or have experienced a prior reaction to a supplement or ingredient.
Do not disregard professional medical advice or delay seeking treatment because of information appearing on the Website. If you believe that you are experiencing a medical emergency or serious adverse reaction, stop using the applicable product and seek immediate medical assistance.
Vitatyme makes reasonable efforts to provide useful and accurate information, but scientific knowledge, regulatory guidance, product information, and individual circumstances may change. No Website content guarantees that a particular product is appropriate for every person or that every customer will experience the same result.
8. PERMITTED USE OF WEBSITE CONTENT
Subject to these Terms, Vitatyme grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Website and its content for your personal, lawful, non-commercial use.
This permission does not authorize resale, republication, commercial exploitation, data extraction, automated collection, framing, mirroring, modification, or use of Website content to train or develop artificial-intelligence or machine-learning systems without Vitatyme’s prior written permission, except where such restriction is prohibited by applicable law.
9. PROHIBITED USES OF THE WEBSITE
You may not use the Website to engage in unlawful, fraudulent, deceptive, abusive, threatening, defamatory, harassing, discriminatory, or infringing conduct.
You may not:
• impersonate another person or misrepresent your identity or affiliation;
• submit false account, order, payment, shipping, review, subscription, or promotional information;
• obtain products through fraud, unauthorized payment methods, promotion abuse, resale schemes, or circumvention of purchase limits;
• introduce malware, viruses, malicious code, automated attacks, or other harmful technology;
• scrape, crawl, copy, harvest, or collect Website content or customer information through unauthorized automated means;
• interfere with Website security, functionality, servers, networks, checkout systems, customer portals, or third-party integrations;
• attempt to gain unauthorized access to an account, system, database, or restricted area;
• reverse engineer, decompile, bypass, or defeat a technological or security measure, except where applicable law expressly permits it;
• infringe or misuse Vitatyme’s or another person’s intellectual-property, privacy, publicity, or other legal rights; or
• use the Website or its content to market, manufacture, promote, or sell counterfeit, unauthorized, or confusingly similar products.
Vitatyme may investigate suspected violations and take reasonable protective action, including restricting access, canceling affected transactions, preserving relevant records, or reporting conduct to payment processors, platforms, regulators, or law-enforcement authorities when appropriate.
10. GEOGRAPHIC AVAILABILITY
The Website may be accessible from locations throughout the United States and internationally. However, products, services, subscriptions, promotions, shipping methods, and Website features may not be available in every location.
Vitatyme accepts orders only for destinations made available during checkout and may restrict a product or cancel an order when fulfillment would violate shipping requirements, carrier restrictions, sanctions, customs requirements, product regulations, or other applicable laws.
Accessing the Website from a particular location does not represent that every product or service is lawful, registered, or available there. Customers accessing or ordering from outside the United States are responsible for complying with applicable local requirements, subject to the additional international-shipping provisions in these Terms.
11. THIRD-PARTY WEBSITES, APPLICATIONS AND SERVICES
The Website may contain links to or integrations with third-party websites, applications, payment processors, subscription-management portals, shipping carriers, package-protection providers, social-media services, review platforms, and other independent services.
Third parties may maintain their own terms, privacy practices, eligibility requirements, and operating procedures. Unless expressly stated otherwise, Vitatyme does not control or endorse third-party content and is not responsible for a third party’s independent acts, omissions, availability, security, representations, or system performance.
This provision does not eliminate any responsibility Vitatyme may have under applicable law for its own conduct, representations, products, or selection and use of a service provider.
12. CALLS AND TEXT MESSAGES
Merely providing a telephone number when creating an account, placing an order, managing a subscription, or contacting customer service does not by itself constitute consent to receive marketing calls or marketing text messages.
Vitatyme may send non-marketing communications concerning an order, account, subscription, security issue, customer-service request, event registration, or other requested transaction when permitted by law.
Vitatyme will send recurring marketing text messages or marketing calls only after obtaining the consent required by applicable law. Marketing consent is not a condition of purchasing a product or service. Message frequency may vary, and message and data rates may apply.
You may withdraw consent to marketing text messages at any time by replying STOP to a marketing message or following the applicable opt-out instructions. You may request assistance by replying HELP or contacting customer service. Opting out of marketing communications does not prevent Vitatyme from sending legally permitted non-marketing communications concerning an existing transaction, account, subscription, safety matter, or customer-service request.
Consent and opt-out requests may be processed by Vitatyme’s messaging service providers, and processing may require a reasonable period permitted by law.
12b. ACCESSIBILITY AND REASONABLE ACCOMMODATIONS
Vitatyme is committed to providing customers with disabilities meaningful access to its Website, products, services, communications, and events. Vitatyme works to improve the usability and accessibility of its digital content and customer experiences and will provide reasonable assistance or modifications when required by applicable law.
If you experience difficulty accessing information, using a Website feature, completing a purchase, managing a subscription, submitting a form, or registering for an event, please contact info@shopvitatyme.com with the subject line “Accessibility Request.” Please identify the page, feature, communication, or event involved and describe the assistance requested. Vitatyme will make reasonable efforts to provide the information, service, or accommodation through an accessible alternative.
Requests concerning event accessibility, dietary restrictions, communication assistance, mobility access, or other disability-related accommodations should be submitted as early as reasonably possible. Vitatyme will evaluate accommodation requests individually and provide reasonable accommodations as required by applicable law.
Accessibility is an ongoing process, and some Website features may be provided through third-party platforms or integrations. If a third-party feature creates an accessibility barrier, please notify Vitatyme so that we can investigate the issue and, where reasonably available, provide assistance or an alternative means of access.
Nothing in this section limits any accessibility right or remedy that cannot lawfully be waived.
13. PRODUCT PURCHASES AND ORDER ACCEPTANCE
Products displayed on the Website are invitations to submit an order and are subject to availability. Your submission of an order constitutes an offer to purchase the selected products under the terms displayed at checkout. An automated order acknowledgment confirms receipt of your order but does not necessarily constitute final acceptance.
Vitatyme may accept, reject, limit, place on hold, or cancel an order before fulfillment for legitimate reasons, including product unavailability, suspected fraud, payment failure, incorrect pricing or product information, purchase-limit violations, unauthorized resale activity, shipping restrictions, regulatory requirements, or an inability to verify order information.
If Vitatyme cancels an order after payment has been collected, Vitatyme will issue an appropriate refund, reversal, or credit for the canceled amount to the original payment method, subject to applicable law and payment-processor timing.
Vitatyme may establish reasonable quantity limits and may reject orders that appear to be placed for unauthorized commercial resale, diversion, or fraudulent purposes.
14. CHANGING OR CANCELING AN ORDER
Orders may enter processing shortly after they are submitted. If you request an address correction, item change, or cancellation, you must contact Vitatyme as soon as possible. Vitatyme may attempt to accommodate a request received within approximately one hour after purchase, but no change or cancellation is guaranteed once processing or fulfillment has begun.
Once an order has been processed, transmitted for fulfillment, packed, or shipped, it generally cannot be changed or canceled. Refusing delivery, failing to collect a package, or returning a package without authorization does not automatically create a right to a refund.
Subscription renewals may be canceled at any time before the applicable renewal has been processed. Canceling a subscription does not retroactively cancel an order that has already been processed. Additional cancellation, final-sale, replacement, and subscription provisions appear later in these Terms.
Nothing in this section limits a cancellation, refund, replacement, or other remedy that cannot lawfully be waived.
15. OUR PRODUCTS AND PRODUCT INFORMATION
Vitatyme makes reasonable efforts to present current and accurate product names, descriptions, ingredients, Supplement Facts, quantities, sizes, colors, packaging, pricing, and availability. Packaging, product appearance, label placement, and colors displayed on a screen may vary from the product received without materially changing the product.
Product formulations, packaging, serving information, and availability may be updated or discontinued when permitted by law. Customers must read the physical product label, ingredient list, directions, warnings, expiration information, and storage instructions received with the product before use. If information on the physical label materially differs from the Website, contact Vitatyme before using the product.
Vitatyme may correct typographical errors, inaccurate descriptions, pricing errors, technical errors, or omissions. If a material error is discovered before fulfillment, Vitatyme may contact you for instructions or cancel the affected item and refund the amount charged for it. Vitatyme will not knowingly substitute a materially different ingestible product without appropriate authorization.
Product availability, Website content, and marketing materials do not constitute a guarantee of any particular result. Product claims, testimonials, reviews, and before-and-after materials remain subject to the health, results, testimonial, and FDA disclaimers contained later in these Terms.
15b. PRODUCT SAFETY, RECALLS AND REGULATORY ACTIONS
Vitatyme may suspend sales or distribution of a product, issue a safety communication, initiate or cooperate with a product withdrawal or recall, cancel unfulfilled orders, or request that customers discontinue use, return, preserve, or properly dispose of a product when Vitatyme reasonably determines that such action is appropriate for safety, quality, regulatory, manufacturing, labeling, or legal reasons.
Customers are responsible for maintaining current contact information and reviewing safety, recall, or product-related notices sent to the email address or other contact information associated with their order or account.
Instructions concerning refunds, replacements, returns, disposal, or other remedies for an affected product will be stated in the applicable notice and provided in accordance with applicable law. Taking a precautionary action, investigating a report, or submitting information to a regulatory authority does not by itself constitute an admission that a product caused or contributed to an injury or adverse event.
Nothing in this section limits any right or remedy that cannot lawfully be waived.
16. DELIVERY
Vitatyme is the seller of products purchased directly through the Website unless expressly stated otherwise. Available shipping destinations, carriers, service levels, estimated delivery windows, and applicable charges will be displayed during checkout when available.
Delivery dates and transit times are estimates rather than guarantees. Processing or delivery may be affected by product availability, order volume, address verification, weather, carrier operations, customs processing, governmental action, supply interruptions, or other circumstances outside Vitatyme’s reasonable control.
Products, merchandise, gifts, and promotional items may be processed or shipped separately and may arrive in more than one package. Tracking information will be provided when available. Delivery remains subject to the additional address, carrier, package-protection, risk-of-loss, refusal, customs, and international-shipping provisions stated below.
16b. Delivery Responsibility
Customers are responsible for providing a complete and accurate shipping address and ensuring that the carrier can safely complete delivery.
Vitatyme’s responsibility for an order ends when carrier tracking records any of the following:
- The package was delivered to the shipping address provided at checkout;
- Delivery was refused by the recipient or another person at the delivery address;
- Delivery could not be completed because the customer failed to provide access, accept the package, supply a required signature, or collect the package from the carrier;
- The package was returned or declared undeliverable because the customer supplied an incorrect, incomplete, or outdated address; or
- The customer failed to pay applicable customs duties, import charges, or other destination-related fees disclosed as the customer’s responsibility.
Packages refused, abandoned, unclaimed, or returned because of a customer-controlled delivery issue are not eligible for a refund. Because Vitatyme products include ingestible and personal-use items, returned products cannot be restocked or resold.
If an eligible package is returned to Vitatyme unopened and in acceptable condition, Vitatyme may, at its sole discretion, offer one reshipment. The customer will be responsible for all additional shipping, handling, return, customs, and carrier charges. Reshipment is not guaranteed.
A customer’s refusal of a package does not constitute cancellation of the order or cancellation of an active subscription. Subscriptions must be canceled separately through the customer’s subscription-management portal before the next renewal is processed.
Before a delivery or valid delivery attempt has occurred, packages reported as lost or damaged in the carrier’s possession will be handled according to the carrier’s procedures, any package-protection coverage purchased with the order, and applicable law.
For international orders, Global-e US Inc. is the seller on record, and you agree to Global-e's terms and conditions for international orders.
You are responsible for inspecting all Products you receive from us for any damage or other issues upon delivery. From the time of delivery, the condition and consumption of the Products are solely at your risk, and you are solely responsible for the proper and safe handling, preparation, storage, use and consumption of the Products following delivery.
17. Right to Cancel; No Returns; Refunds All sales are considered final, non-cancellable, and non-refundable, except in cases specified under Section 16 and this Section 17. We do not accept returns due to the personal nature of the products.
You are entitled to a refund or reshipment in the event that a product arrives damaged at the discretion of Vitatyme. This does not affect your statutory rights. To request a refund or reshipment for damaged products, you must contact our customer service team within forty-eight (48) hours of delivery via the "Contact Us Form" on our Website or by emailing us at info@shopvitatyme.com. We may request photos of the damaged product and a copy of your confirmation email. Any refunds will be issued based on the original form of payment.
18. Our Online Store Our store is hosted on Shopify Inc. ("Shopify"), which processes your order requests and payments. By submitting your order, you agree to Shopify processing your order. Your data is stored through Shopify's data storage, databases, and the general Shopify application, all of which are secure.
19. Prices, Promotions & Payment The price of the product will be as indicated on the email acknowledgment sent by us upon completing your order online. Product prices shown on the Website are in U.S. Dollars and are valid in the United States and select international destinations. Product prices may change over time, excluding shipping and handling costs and any applicable sales taxes, which are your responsibility. Foreign exchange differences may affect the price of international orders.
Accepted payment methods include Afterpay, Visa, Mastercard, American Express, Paypal, Apple Pay, Google Pay, Shop Pay and Klarna. Credit card payments are processed through third-party payment processors, who collect and retain your credit card information in accordance with our Privacy Policy.
Full payment is due upon order placement, and you will be charged when you press the "Pay Now" button during checkout.
All prices displayed on the Website are shown in U.S. Dollars unless another currency is expressly indicated. Prices, product availability, subscription offerings, promotional offers, and discounts may be changed or discontinued at any time before an order is submitted.
The price displayed during checkout, after all eligible discounts have been applied, is the price applicable to that order. Placing a product in your cart does not reserve its price, availability, discount, or promotional eligibility. Prices and promotions offered after an order has been completed will not be applied retroactively, and Vitatyme does not provide price adjustments for promotions introduced after purchase.
19b. Promotions and Discounts
Vitatyme may offer temporary promotions, promotional codes, subscription pricing, bundles, gifts with purchase, quantity-based offers, loyalty benefits, creator or affiliate codes, and other special pricing from time to time.
Promotions may vary based on the product, collection, bundle, quantity, purchase method, subscription status, customer eligibility, geographic location, sales channel, promotional code, or promotional period. The existence of one promotion does not entitle a customer to receive the same pricing through another promotion, sales channel, purchase method, or transaction.
Unless the applicable offer expressly states otherwise:
- Discounts apply only to eligible merchandise;
- Discounts are calculated using the pricing basis identified in the offer;
- A percentage discount does not necessarily apply to a previous promotional price, subscription price, bundle price, clearance price, gift card, shipping charge, package-protection fee, tax, duty, or other already-discounted amount;
- Promotional codes and offers may not be combined, stacked, transferred, redeemed for cash, or applied retroactively;
- Certain products, collections, bundles, subscriptions, launches, limited-edition products, and gift cards may be excluded;
- Minimum-purchase requirements are calculated using the eligible merchandise subtotal after excluded items and other adjustments have been removed;
- Removing, returning, canceling, or changing an item may cause a promotion to be recalculated or removed; and
- Promotions are available only during the stated promotional period and while supplies last.
When a promotion is described as “up to” a stated percentage, the maximum discount applies only to qualifying products specifically included in that promotion. Other eligible products may receive a lower discount.
19c. Regular, Reference and Promotional Prices
A regular, original, former, crossed-out, or other reference price represents the bona fide pricing basis identified in the applicable offer. It does not necessarily represent the lowest price at which the product has ever been offered, the product’s immediately preceding price, or a price available through a different promotion, subscription, bundle, customer program, geographic market, or sales channel.
Promotional savings are calculated according to the terms displayed with the applicable offer. If a specific savings comparison is based on purchasing products individually, enrolling in a subscription, purchasing a bundle, or another stated method, the comparison applies only to that identified basis.
19d. Subscription and Bundle Pricing
One-time purchase prices, subscription prices, and bundle prices are separate purchasing offers and may be priced differently.
Unless otherwise stated, subscription savings are calculated by comparing the subscription price with the then-current eligible one-time purchase price for the same product. Bundle savings may be calculated by comparing the bundle price with the combined current regular prices of the individual products included in the bundle.
A previous sale price, subscription price, bundle price, promotional price, or discount-code price is not necessarily the basis used to calculate a different promotion.
Certain products may be offered exclusively through a subscription and may not be available for one-time purchase. The available purchasing options and applicable recurring price will be disclosed before checkout. Products offered exclusively through a subscription should not be understood as having a one-time purchase price unless one is expressly displayed.
19e. Pricing and Promotional Errors
We make reasonable efforts to ensure that prices, discounts, descriptions, and promotional terms are accurate. Occasionally, typographical, technical, display, calculation, or other inadvertent errors may occur.
Vitatyme reserves the right to correct an error and to reject or cancel an affected order before fulfillment. If an order is canceled because of a pricing or promotional error, any amount paid for the canceled item will be returned to the original payment method. We will not charge a corrected higher price without the customer’s authorization.
Vitatyme also reserves the right to cancel orders involving unauthorized, altered, duplicated, fraudulent, expired, or improperly applied promotional codes or offers.
19f. Payment
Available payment methods are displayed during checkout and may change from time to time. Payment services are provided by Shopify and other third-party payment providers subject to their applicable terms and privacy practices.
By submitting an order, you represent that you are authorized to use the selected payment method and authorize the applicable charges, including merchandise, shipping, package protection, taxes, duties, and other amounts disclosed during checkout.
For subscription purchases, the initial payment is charged when the order is submitted, and subsequent recurring payments are charged according to the subscription price and billing frequency disclosed before enrollment. Additional subscription terms are provided in the Subscription Program section below.
International prices may be affected by currency conversion, exchange rates, taxes, duties, payment-provider charges, and other destination-specific costs. The final amount charged will be shown during checkout to the extent available.
20. Subscription Program Vitatyme offers an automatically renewing subscription program known as “Start a Ritual & Save.” By selecting a subscription option and completing checkout, you expressly authorize Vitatyme and its payment-processing and subscription-management providers to charge your selected payment method for the initial order and each subsequent recurring order according to the price, products, shipping charges, taxes, and billing frequency disclosed before enrollment.
Subscriptions continue automatically until canceled. There is no minimum number of orders required. Unless otherwise disclosed before enrollment, customers may cancel at any time before the next recurring order is processed.
20b. SUBSCRIPTION-ONLY PRODUCTS
Vitatyme reserves the right to designate certain products, collections, sizes, formulas, promotional offerings, or purchasing options as available exclusively through a subscription. A subscription-only product may not be available for a one-time purchase.
Subscription-only availability does not guarantee that a product, formula, price, discount, benefit, or delivery frequency will remain available indefinitely. Any material change to an active subscription will be communicated as required by applicable law, together with instructions for cancellation.
20c. AUTOMATIC RENEWAL AND BILLING
The products, recurring price or pricing method, delivery frequency, shipping charges, and applicable taxes will be disclosed before enrollment and reflected in the customer’s subscription account.
By enrolling, you authorize recurring charges to your stored payment method without requiring Vitatyme to obtain separate authorization before every renewal. Recurring charges will continue according to the selected frequency until the subscription is canceled.
If a payment is declined, Shopify, Recurpay, or another authorized payment processor may retry the payment and send notices requesting updated payment information. Vitatyme may pause or cancel a subscription following repeated payment failures.
If Vitatyme changes the recurring price or another material subscription term, notice and cancellation information will be provided before the change takes effect as required by applicable law. No corrected higher charge resulting from a displayed pricing error will be collected retroactively without the customer’s authorization.
20d. MANAGING YOUR SUBSCRIPTION
Subscription-management services are currently provided through a third-party customer portal operated by Recurpay and integrated with Shopify. Depending on the options available for a particular subscription, customers may be able to:
• View the next scheduled order and charge;
• Change the next order date;
• Change the delivery frequency;
• Add, remove, or change eligible products;
• Skip an eligible order;
• Update the shipping address;
• Update payment or contact information;
• Apply an eligible discount code;
• Review billing and order history; and
• Cancel the subscription.
The availability of a particular portal feature does not guarantee that every product, discount, reward, change, or delivery frequency will qualify for that feature.
Customers are responsible for reviewing their upcoming order, recurring amount, delivery date, products, shipping address, contact information, and payment method before the renewal is processed. Changes made after an order has been processed will apply only to future eligible renewals.
20e. CANCELLATION
Customers may cancel an active subscription online through the subscription-management portal at any time before the next recurring order is processed. Cancellation stops future recurring charges but does not cancel or refund an order that has already been processed.
A cancellation is effective when the portal displays a successful cancellation confirmation or Vitatyme provides confirmation through another authorized method. Customers should retain their cancellation confirmation for their records.
If a technical problem prevents access to the portal or prevents an online cancellation from being completed, the customer may submit a cancellation request to info@shopvitatyme.com. A customer who encounters a portal error should contact Vitatyme as soon as possible and before the displayed renewal is processed. Vitatyme will honor a verifiable cancellation request submitted before the applicable renewal was processed, even if a third-party platform error delayed the confirmation.
Canceling a subscription does not cancel a previously processed order. Refusing delivery, failing to collect a shipment, disputing a shipment, removing a stored payment method, or allowing a payment method to expire does not constitute cancellation of a subscription.
20f. PROCESSED SUBSCRIPTION ORDERS
Once a recurring payment has been successfully processed, the resulting order enters Vitatyme’s fulfillment system and is subject to the same final-sale, cancellation, shipping, replacement, and delivery policies that apply to other orders.
Because Vitatyme sells ingestible and personal-use products, processed subscription orders are not eligible for return or refund merely because the customer forgot to cancel, did not review the upcoming renewal, no longer wanted the product, or had excess product remaining.
If Vitatyme can stop an order before fulfillment, it may do so at its discretion; however, cancellation after processing is not guaranteed.
20g. PRODUCT CHANGES AND AVAILABILITY
Subscription products remain subject to availability. Vitatyme may delay or skip a renewal, remove an unavailable item, discontinue a product, or cancel an affected subscription when a product cannot be fulfilled.
Vitatyme will not substitute a materially different ingestible product without the customer’s authorization. If Vitatyme cannot fulfill a processed and paid order, it will provide an appropriate replacement, credit, cancellation, or refund as required by applicable law.
20h. SUBSCRIPTION DISCOUNTS, CODES AND REWARDS
Subscription prices, discounts, loyalty rewards, promotional codes, gifts, and other benefits are subject to the terms displayed with the applicable offer.
A subscription discount may be calculated from the then-current eligible one-time purchase price, bundle price, or other pricing basis clearly identified with the offer. Subscription discounts do not necessarily combine with promotional codes, rewards, sale prices, bundle savings, gifts, or other offers.
Rewards may require a stated number of successfully processed and non-refunded subscription orders before becoming available. Unless expressly stated otherwise, rewards have no cash value, are nontransferable, and may be limited to eligible products or future orders.
Vitatyme may correct rewards, discounts, credits, or benefits that were issued, displayed, duplicated, or applied because of fraud, misuse, configuration error, technical malfunction, or other mistake. Vitatyme may modify or discontinue a rewards program prospectively, subject to applicable law and any terms expressly provided with an earned reward.
20i. THIRD-PARTY PLATFORM AND SYSTEM ERRORS
The subscription-management portal, payment-processing functions, automated emails, account data, renewal calculations, and related technology are provided in part through Shopify, Recurpay, payment processors, email providers, and other independent third-party services.
To the fullest extent permitted by law, Vitatyme does not guarantee that a third-party platform will always be uninterrupted, timely, secure, compatible, or error-free. Vitatyme will not be responsible for delays, temporary outages, display errors, data-synchronization failures, duplicate displays, delayed notifications, transmission failures, browser or device incompatibility, or other technical conditions beyond Vitatyme’s reasonable control.
Information displayed in the portal may occasionally take time to reflect a recently submitted change. A requested change should not be assumed to have been completed when an error message appears or when no confirmation is generated. Customers should contact Vitatyme promptly if portal information appears incomplete or inconsistent with the most recent confirmed subscription instructions.
Customers are responsible for changes they authorize through their accounts and for maintaining the confidentiality of their account-access information. Vitatyme is not responsible for changes submitted by a person using the customer’s valid account credentials unless applicable law provides otherwise.
Nothing in this section eliminates Vitatyme’s obligation to investigate and correct a verified billing or subscription error. If a system error results in an incorrect charge or order, Vitatyme’s responsibility will be limited to correcting the affected transaction and providing the remedy required by applicable law. To the fullest extent permitted by law, Vitatyme will not be liable for indirect, incidental, special, or consequential damages resulting solely from a third-party platform interruption or error.
20j. VITATYME’S RIGHT TO CANCEL
Vitatyme may pause, modify, or cancel a subscription because of product discontinuation, inventory limitations, payment failure, suspected fraud, misuse of promotional offers or rewards, unlawful activity, violation of these Terms, technical necessity, or another legitimate business reason.
If Vitatyme cancels a subscription, future recurring charges will stop. Cancellation of the subscription does not automatically affect an order that was validly processed before the cancellation.
21. PRODUCT AND SHIPPING RESTRICTIONS
Vitatyme currently ships eligible products to the following destinations:
Australia, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Hungary, Iceland, Indonesia, Italy, Latvia, Liechtenstein, Lithuania, Luxembourg, Macau, Malta, Monaco, the Netherlands, New Zealand, Norway, the Philippines, Poland, Portugal, Romania, Slovakia, Slovenia, South Korea, Sweden, Thailand, the United Kingdom, the United States, and Vietnam.
At this time, we are unable to ship to APO, FPO, DPO, or other United States military addresses.
Shipping availability is determined by the destination address, the products in the order, applicable laws, and carrier limitations. The ability to select a country during checkout does not guarantee that every Vitatyme product can be delivered to every address within that country.
Vitatyme may add, remove, suspend, or restrict a shipping destination or product without prior notice because of changes in applicable law, ingredient restrictions, customs requirements, carrier availability, fulfillment limitations, political conditions, service interruptions, or other circumstances beyond our reasonable control.
21b. INTERNATIONAL SHIPPING COSTS
International shipping charges are calculated separately based on the destination, package weight, selected shipping service, and other applicable carrier factors. The available shipping methods and estimated charges will be displayed during checkout.
Any delivery estimate displayed on the Website, during checkout, or in an order confirmation is an estimate only and is not guaranteed. Estimated transit times do not include order processing, weekends, holidays, customs inspections, clearance delays, requests for additional documentation, local delivery interruptions, or other events outside Vitatyme’s reasonable control.
Products and merchandise included in the same order may be fulfilled or shipped separately and may arrive in different packages or on different dates.
21c. CUSTOMS, DUTIES AND IMPORT TAXES
Unless expressly stated otherwise during checkout, international orders are shipped with customs duties, import taxes, value-added taxes, brokerage fees, handling fees, clearance charges, and other destination-related fees unpaid.
The recipient is responsible for paying all customs duties, import taxes, value-added taxes, brokerage charges, clearance fees, carrier charges, and other amounts assessed by the destination country, customs authority, carrier, or other governmental entity.
These charges are not controlled by Vitatyme and are not included in the product price or shipping charge unless expressly stated during checkout. Customs authorities determine whether charges apply and calculate them according to destination-specific laws, product classifications, declared values, and other factors.
Customers should contact the appropriate customs authority before purchasing if they need information regarding potential duties, taxes, ingredient restrictions, quantity limits, or personal-import requirements.
21d. CUSTOMS AND PRODUCT RESTRICTIONS
Dietary-supplement, food, cosmetic, candle, drinkware, textile, and merchandise regulations vary by country. A product that may lawfully be sold in the United States may be restricted, delayed, inspected, refused, seized, returned, or destroyed by another country’s customs or regulatory authorities.
Vitatyme makes reasonable efforts to comply with applicable shipping requirements but cannot guarantee that a destination country will admit every product or shipment. Customs-clearance decisions are made by the destination’s authorities and are outside Vitatyme’s control.
Vitatyme reserves the right to cancel an order before shipment if we determine that the products cannot be shipped to the selected destination or that additional regulatory, customs, carrier, or documentation requirements cannot reasonably be satisfied.
To the fullest extent permitted by law, Vitatyme is not responsible for customs delays, inspections, holds, seizures, confiscations, destruction, denial of entry, government action, or other destination-country restrictions outside Vitatyme’s reasonable control.
21e. REFUSED, UNCLAIMED OR UNDELIVERABLE INTERNATIONAL PACKAGES
Customers are responsible for monitoring international tracking, responding to carrier or customs communications, providing any reasonably requested information, paying applicable destination charges, and accepting or collecting their shipment.
If a customer refuses a shipment, declines to pay applicable duties or taxes, fails to provide required information, fails to collect the package, or supplies an incorrect or incomplete address, the order will not be eligible for a refund merely because it was refused, unclaimed, abandoned, or returned.
The customer remains responsible for all original shipping charges, customs charges, duties, taxes, brokerage fees, return fees, storage fees, abandonment fees, destruction fees, and other costs resulting from the refusal, nonpayment, failed delivery, or return.
If a carrier, customs authority, or other third party charges Vitatyme for duties, taxes, return transportation, storage, abandonment, destruction, or related expenses because the recipient refused or failed to accept the shipment, Vitatyme may seek reimbursement from the customer or deduct those amounts from any refund otherwise required by applicable law.
Because Vitatyme sells ingestible and personal-use products, returned international products cannot be restocked or resold. Vitatyme may, at its sole discretion, offer to reship an eligible unopened package after it is returned and inspected. The customer will be responsible for all additional shipping, handling, customs, and carrier charges. Reshipment is not guaranteed.
21f. INTERNATIONAL SUBSCRIPTIONS
International subscription orders remain subject to destination availability, customs requirements, carrier service, and product restrictions at the time each recurring order is processed.
Duties, taxes, shipping costs, and other destination-related fees may change between subscription renewals. The customer is responsible for charges assessed on each recurring international shipment unless Vitatyme expressly states otherwise.
Vitatyme may pause, skip, modify, or cancel an international subscription if a destination becomes unavailable, a product becomes restricted, a carrier suspends service, required documentation cannot be obtained, or the recurring order otherwise cannot be lawfully or reasonably fulfilled.
21g. PACKAGE PROTECTION
Optional package protection, when available, is subject to the protection provider’s separate terms, exclusions, deadlines, and claims procedures.
Package protection may not cover customs delays, unpaid duties or taxes, inaccurate addresses, import restrictions, government seizure, confiscation, destruction, refusal to accept delivery, failure to collect a package, or products prohibited at the destination. Purchasing package protection does not guarantee customs clearance or override the laws of the destination country.
21h. REQUIRED CANCELLATIONS OR REFUNDS
Nothing in this section limits any cancellation, replacement, or refund right that cannot legally be waived. If Vitatyme cannot ship an order within the promised period, we will provide any notice, cancellation option, or refund required by applicable law.
22. DISCOUNT CODES
Unless expressly stated otherwise, only one discount code may be applied per order. Discount codes may be limited to eligible customers, products, collections, purchase amounts, subscription plans, geographic locations, sales channels, or promotional periods. Additional restrictions, exclusions, expiration dates, and eligibility requirements displayed with a discount code are incorporated into these Terms.
22b. APPLICATION OF DISCOUNT CODES
You are responsible for entering and successfully applying an eligible discount code before completing checkout. Discount codes cannot be applied retroactively to completed or previously processed orders. A discount code appearing in a shopping cart does not guarantee eligibility; the final discount and total displayed at checkout will control, subject to the correction of obvious pricing, technical, or promotional errors.
Unless an offer expressly provides otherwise, discount codes may not be combined or stacked with other discount codes, automatic discounts, sale pricing, bundles, subscription discounts, subscriber rewards, loyalty benefits, gifts, or promotional offers.
22c. SUBSCRIPTION DISCOUNTS
A discount code applied to a subscription order applies only to the order, renewal, product, or period identified in the applicable offer. Applying a code does not permanently change the price of a subscription unless the offer expressly states that the discount applies to future renewals.
Subscription discounts, rewards, and promotional codes may be subject to separate eligibility requirements. Changing products, quantities, delivery frequency, or subscription status may cause a discount or reward to be recalculated or removed.
22d. RESTRICTIONS AND MISUSE
Discount codes have no cash value and may not be sold, transferred, reproduced, altered, duplicated, or redeemed for cash, credit, or any product other than an eligible purchase. Discount codes obtained from unauthorized third-party coupon websites, social-media accounts, resellers, or other unofficial sources may be invalid.
Vitatyme may reject, deactivate, or cancel a discount code or an affected order when reasonably necessary because of suspected fraud, abuse, unauthorized distribution, duplication, alteration, technical malfunction, pricing error, eligibility failure, or violation of the applicable promotional terms.
If an item is removed, returned, canceled, or determined to be ineligible, the discount and remaining order total may be recalculated. The value of a discount will not be refunded separately or converted into cash.
22e. ERRORS AND ORDER CANCELLATION
If a discount, price, reward, or promotional benefit is displayed or applied incorrectly because of an obvious error, system malfunction, unauthorized code, or incorrect configuration, Vitatyme may correct the error or cancel the affected order before fulfillment. If Vitatyme cancels an order for this reason, any amount actually paid for the canceled portion will be returned to the original payment method as required by applicable law.
Vitatyme will not increase the amount charged for a completed order without the customer’s authorization. Nothing in this Section limits any consumer right that cannot legally be waived.
23. PROMOTIONS
From time to time, Vitatyme may offer sales, giveaways, sweepstakes, contests, challenges, subscriber rewards, referral programs, gifts, or other promotional opportunities. Each promotion may be subject to separate official rules or offer terms describing its eligibility requirements, geographic limitations, dates, entry methods, prizes, restrictions, and other conditions.
By participating, you agree to the applicable official rules and these Terms. If the specific rules for a promotion conflict with this Section, the specific rules will control for that promotion, except where prohibited by law.
23b. ELIGIBILITY AND PARTICIPATION
Promotions may be limited by age, residence, customer status, subscription status, purchase history, account standing, product availability, or other disclosed criteria. Entries or claims that are late, incomplete, inaccurate, automated, duplicated, altered, submitted through unauthorized methods, or otherwise inconsistent with the applicable rules may be disqualified.
Vitatyme may disqualify any participant who tampers with a promotion, uses bots or multiple identities, interferes with another participant, makes fraudulent claims, or attempts to obtain an unfair advantage.
23c. SWEEPSTAKES, GIVEAWAYS AND CONTESTS
No purchase or payment is necessary to enter or win any chance-based sweepstakes or giveaway, and making a purchase will not increase a participant’s odds of winning. Any available free method of entry and all material eligibility requirements will be stated in the applicable official rules.
Contests based on skill, creativity, judging criteria, or performance may have different entry and winner-selection requirements, which will be described in their official rules. The odds of winning a chance-based promotion depend upon the number of eligible entries received.
23d. PRIZES AND WINNER VERIFICATION
Potential winners may be required to verify their identity and eligibility and complete any lawful documentation described in the official rules before receiving a prize. If a potential winner cannot be contacted, does not respond within the stated period, fails to satisfy the eligibility requirements, or declines the prize, Vitatyme may select an alternate winner when permitted by the official rules and applicable law.
Prizes are not transferable and may not be redeemed for cash unless expressly stated. If an advertised prize becomes unavailable, Vitatyme may substitute a prize of equal or greater value where permitted by law. Vitatyme will not require a winner to make a purchase or pay a fee to claim a sweepstakes prize. A winner remains responsible for any personal tax obligations imposed by law and disclosed in the applicable official rules.
23e. SOCIAL-MEDIA PROMOTIONS
Unless expressly stated otherwise, promotions presented through Instagram, YouTube, TikTok, Facebook, or another third-party platform are not sponsored, endorsed, administered by, or associated with that platform. Participants must comply with the platform’s applicable terms and rules.
Vitatyme is not responsible for a platform’s outage, account restriction, content removal, algorithm, messaging failure, or other action that prevents an entry or communication from being received, except to the extent responsibility cannot be excluded under applicable law.
23f. WELLNESS CHALLENGES
Participation in a wellness, fitness, nutrition, beauty, or lifestyle challenge is voluntary. Promotional challenges and related content are provided for general educational and motivational purposes and are not medical advice, diagnosis, or treatment.
Participants are responsible for determining whether an activity or product is appropriate for them and should consult a qualified healthcare professional before participating. Especially if they are pregnant, nursing, taking medication, have a medical condition, or have concerns about their ability to participate safely.
23g. MODIFICATION, SUSPENSION OR CANCELLATION
To the extent permitted by law and the applicable official rules, Vitatyme may modify, suspend, extend, or cancel a promotion when fraud, tampering, technical failure, platform interruption, legal requirements, insufficient participation, product unavailability, events beyond Vitatyme’s reasonable control, or another circumstance materially affects the fairness, security, administration, or intended operation of the promotion.
Any modification or cancellation will not eliminate rights that have already vested under applicable law. Nothing in this Section authorizes deceptive advertising, misleading price comparisons, or the denial of a non-waivable consumer right.
24. DELAYS AND EVENTS BEYOND OUR CONTROL
Vitatyme will not be responsible for a delay or failure to perform an obligation under these Terms to the extent that the delay or failure results from an event beyond Vitatyme’s reasonable control.
24b. EVENTS BEYOND REASONABLE CONTROL
Events beyond our reasonable control may include severe weather, fire, flood, earthquake, natural disaster, epidemic, pandemic, public-health emergency, war, terrorism, civil unrest, government action, embargo, sanctions, customs holds, border closures, labor disputes, carrier interruptions, transportation delays, power outages, internet or telecommunications failures, cyberattacks, failures of Shopify, subscription-management platforms, payment processors, or other necessary third-party systems, as well as supplier, manufacturer, warehouse, ingredient, packaging, or inventory disruptions.
24c. EFFECT ON PERFORMANCE AND ORDERS
When such an event occurs, the affected obligation may be suspended for the duration and to the extent reasonably necessary. Vitatyme may delay shipment or processing, place reasonable limits on available quantities, remove an unavailable item, or cancel an affected order or subscription renewal.
Vitatyme will not substitute a materially different ingestible product or formula without the customer’s authorization. Packaging, labeling, or other non-material product presentation may change when permitted by law and when the identity and material characteristics of the ordered product remain unchanged.
24d. NOTICE AND CUSTOMER REMEDIES
Vitatyme will make reasonable efforts to communicate material delays or cancellations using the contact information provided with the order. If a paid order cannot be fulfilled, Vitatyme will provide an appropriate replacement, credit, cancellation, or refund as required by applicable law and the applicable Vitatyme policy.
Delivery dates and processing estimates are estimates unless Vitatyme expressly guarantees a particular date in writing. Carrier delays, customs processing times, and third-party service interruptions may affect delivery after an order has been processed.
24e. LIMITATIONS
This Section does not excuse payment for products already delivered, permit Vitatyme to charge a customer for a canceled unfulfilled item, or limit any warranty, refund, cancellation, or other consumer protection that cannot legally be waived. Vitatyme will make commercially reasonable efforts to reduce the effect of an event beyond its reasonable control and resume affected operations when reasonably possible.
25. PR PACKAGES, CREATOR RELATIONSHIPS AND AFFILIATE PROGRAMS
Vitatyme may send complimentary products, press mailers, seasonal gifts, event invitations, or other promotional items to creators, influencers, members of the media, healthcare or wellness professionals, customers, and other individuals selected by Vitatyme.
Receiving a PR package does not guarantee inclusion in future mailings, eligibility for an affiliate program, payment, sponsorship, event invitation, repost, brand partnership, or any other continuing relationship with Vitatyme.
25b. NO-OBLIGATION PR GIFTS
Unless Vitatyme and the recipient expressly agree otherwise in writing, a complimentary or unsolicited PR package is provided without any requirement to post, publish content, provide a review, make a purchase, return the products, endorse Vitatyme, or provide any other service.
Recipients are never required to provide a positive review. Any voluntary opinion or endorsement must reflect the recipient’s honest experience and may not contain statements the recipient knows or should know are false, misleading, or unsupported.
Accepting delivery of a no-obligation PR package does not, by itself, create an employment, agency, partnership, sponsorship, independent-contractor, or paid endorsement relationship.
25c. PR REQUESTS, ACCEPTANCE FORMS AND SHIPPING INFORMATION
Vitatyme may invite a potential recipient to complete a PR request, acceptance, or shipping form. Submission of a form does not guarantee that products will be sent.
Information submitted through a PR form may be used to evaluate eligibility, communicate with the recipient, fulfill the shipment, maintain Vitatyme’s creator records, administer a related campaign, and comply with legal or tax obligations. Submission of shipping information does not authorize unrelated marketing communications unless the recipient separately opts in.
When a form, email, campaign brief, or agreement contains additional terms and the recipient affirmatively accepts those terms, the additional terms will apply to that shipment or campaign. If no additional agreement is accepted, the package will be treated as a no-obligation PR gift.
Recipients are responsible for providing complete and accurate contact and shipping information. Vitatyme is not responsible for packages delayed, returned, refused, lost, misdelivered, or undeliverable because of inaccurate information, access restrictions, customs requirements, carrier events, or a recipient’s failure to accept delivery.
25d. REQUIRED DISCLOSURE OF MATERIAL CONNECTIONS
If a recipient voluntarily posts about a complimentary Vitatyme product, the recipient should clearly and conspicuously disclose that the product was received for free, even when Vitatyme did not require or request a post.
Creators participating in a paid, gifted, commissioned, affiliate, ambassador, event, or other promotional relationship must clearly and conspicuously disclose their material connection to Vitatyme in each applicable endorsement. Disclosures must be easy to notice and understand and must comply with applicable law, platform requirements, and Vitatyme’s creator guidelines.
Depending on the relationship, appropriate disclosures may include “Ad,” “Paid partnership with Vitatyme,” “Gifted by Vitatyme,” “Vitatyme sent me this product,” or “I earn a commission when you purchase through my link.” A tag, discount code, “thank you,” ambiguous abbreviation, or disclosure hidden among hashtags may not be sufficient.
The use of a platform’s paid-partnership or branded-content tool does not eliminate the creator’s responsibility to include a clear disclosure when an additional disclosure is necessary.
25e. TRUTHFUL CONTENT AND PRODUCT CLAIMS
Creators must describe their genuine experience and may not make false, deceptive, misleading, or unsubstantiated statements about Vitatyme or its products.
Creators acting on Vitatyme’s behalf or participating in an affiliate, ambassador, paid, gifted-content, or contracted campaign may use only claims authorized in Vitatyme’s campaign materials or otherwise approved in writing. Without appropriate written authorization and substantiation, creators may not state or imply that a Vitatyme product diagnoses, treats, cures, or prevents a disease; guarantees a result; replaces medical treatment; causes weight loss; corrects a hormonal or medical disorder; or produces results that have not been substantiated.
Creators may discuss their honest personal experience but must not present an individual experience as a result every customer should expect. Required dietary-supplement disclaimers do not cure an otherwise false, misleading, or unsupported claim.
Vitatyme may request the prompt correction or removal of content that contains an inadequate disclosure, inaccurate product information, prohibited health claim, infringement, or other legal or safety concern. Vitatyme may suspend or terminate an affiliate or creator relationship for failure to make a required correction.
Nothing in these Terms requires a creator or PR recipient to provide a positive review or prevents that person from expressing an honest opinion based on a genuine experience. Vitatyme may, however, request correction or removal of content that Vitatyme reasonably believes contains a knowingly false statement of fact, unlawful content, confidential information, infringement, an undisclosed material connection, a prohibited or unsubstantiated product claim, an impersonation of Vitatyme, or a violation of an accepted campaign agreement.
A difference of opinion or an unfavorable but honest review will not, by itself, create liability to Vitatyme. However, Vitatyme is not required to continue sending complimentary products, offering affiliate benefits, extending invitations, or maintaining a voluntary or terminable creator relationship after the parties no longer share a workable brand relationship.
25f. PAID, GIFTED-CONTENT AND SPONSORED CAMPAIGNS
If Vitatyme requires content, attendance, usage rights, exclusivity, posting dates, talking points, deliverables, or any other service in exchange for money, products, travel, admission, commissions, or another benefit, the arrangement must be governed by a separate written creator, campaign, or services agreement.
The separate agreement may address compensation, deliverables, deadlines, approval rights, permitted claims, disclosures, content usage, exclusivity, cancellation, confidentiality, taxes, and other campaign-specific requirements. If that agreement conflicts with this Section, the signed agreement will control for that campaign.
A creator is not entitled to compensation merely because Vitatyme sent a no-obligation gift or because the creator voluntarily produced or published content.
25g. AFFILIATE AND AMBASSADOR RELATIONSHIPS
Participation in a Vitatyme affiliate or ambassador program requires acceptance into the program and agreement to the applicable affiliate-platform terms and Vitatyme program rules.
Commissions are earned only on qualifying transactions that are properly tracked and confirmed. Transactions involving returns, refunds, cancellations, chargebacks, fraud, self-referrals, code misuse, unauthorized coupon distribution, duplicate attribution, or other ineligible activity may be excluded or reversed.
Affiliate links and codes may not be advertised through false claims, spam, impersonation, misleading domain names, unauthorized paid-search bidding, deceptive coupon listings, or any method prohibited by Vitatyme or the applicable platform.
Commission rates, eligibility requirements, attribution periods, payment schedules, and program benefits may be changed prospectively upon reasonable notice where required. Vitatyme may suspend or terminate participation because of fraud, inactivity, prohibited claims, disclosure failures, brand-safety concerns, violation of program rules, or other material breach.
Affiliate and ambassador participants are independent contractors and are not employees, agents, legal representatives, joint venturers, or partners of Vitatyme. They have no authority to make promises, warranties, commitments, or representations on behalf of Vitatyme.
25h. CREATOR CONTENT AND INTELLECTUAL PROPERTY
Sending a PR package, providing an affiliate code, tagging a creator, or receiving a tag from a creator does not automatically transfer ownership of the creator’s content or grant Vitatyme unrestricted advertising rights.
Any right for Vitatyme to reproduce, edit, publish, advertise, sublicense, or otherwise use a creator’s name, image, likeness, voice, testimonial, photograph, video, or other content must arise from the applicable platform functionality, express written permission, or a separate written agreement.
Likewise, creators receive only a limited right to use Vitatyme’s name, trademarks, product images, and approved campaign materials for authorized promotional purposes. They may not alter Vitatyme’s marks, imply ownership of the brand, register confusingly similar usernames or domains, or use Vitatyme intellectual property outside the authorized relationship.
25i. CUSTOMER REVIEWS, USER CONTENT AND REVIEW SYNDICATION
When a customer submits a rating, review, testimonial, photograph, before-and-after image, video, audio recording, comment, or other content to Vitatyme (“Customer Content”), the customer retains ownership of that Customer Content.
By submitting Customer Content and accepting the permission presented with the submission form, the customer grants Vitatyme and its affiliates a worldwide, perpetual, royalty-free, non-exclusive, sublicensable license to host, reproduce, publish, display, distribute, format, resize, crop, caption, translate, and otherwise use the Customer Content in connection with Vitatyme, its products, and its lawful business activities.
This license includes permission to display or syndicate Customer Content through Vitatyme websites, applications, emails, social-media accounts, review-service providers, authorized retailers, distributors, marketplaces, product listings, retail displays, presentations, and other sales or promotional channels. Syndicated content may include the customer’s rating, written review, photographs, videos, display name or first name and last initial, submission date, verified-purchaser designation, original source, and any required disclosure concerning a complimentary product, discount, reward, payment, affiliate relationship, or other material connection.
Customer Content will be associated only with the product or substantially identical product listing to which the content relates. Review syndication is subject to each retailer’s, marketplace’s, and review platform’s rules, technical requirements, and approval. Vitatyme does not guarantee that a third-party platform will accept, publish, or continue displaying any submitted content.
Vitatyme may make non-substantive formatting or technical changes necessary to display or syndicate Customer Content but will not materially alter the customer’s rating, meaning, experience, qualifications, or expressed sentiment. Vitatyme may moderate or decline to publish content containing private information, unlawful material, harassment, obscenity, unrelated content, unsupported or prohibited health claims, or content that is clearly false or misleading. Moderation standards will be applied without regard to whether a review is favorable or unfavorable.
Submitting Customer Content does not authorize Vitatyme to misrepresent the customer’s experience or attribute statements to the customer that the customer did not make. Nothing in these Terms transfers ownership of a customer’s review to Vitatyme, restricts a customer’s ability to express an honest opinion, or penalizes a customer for submitting an honest negative review.
If Customer Content was submitted in exchange for a complimentary product, discount, reward, payment, affiliate benefit, or other incentive, that relationship may be disclosed wherever the content appears. No incentive will be conditioned upon submitting a favorable review.
Commercial use of an identifiable person’s name, image, voice, or likeness in paid advertising, outdoor advertising, billboards, or separately produced promotional campaigns will require the additional marketing consent presented when the content is submitted or another applicable written agreement.
25j. TAXES AND REPORTING
Each recipient or creator is responsible for determining and satisfying any personal federal, state, local, or international tax obligations associated with payments, commissions, products, travel, services, gifts, or other benefits received from Vitatyme.
When products, money, or other benefits are provided in exchange for content, promotional services, appearances, licensing rights, or other deliverables, some or all of the value may constitute taxable compensation. Vitatyme may request a completed tax form, maintain valuation and payment records, withhold amounts when legally required, and issue any information return required by applicable law.
Vitatyme’s accounting or tax treatment of a shipment does not create a posting obligation, convert a no-obligation gift into a paid endorsement, determine the recipient’s personal tax treatment, or guarantee that any expense is deductible by either party. Recipients and creators should consult their own qualified tax professionals regarding their individual circumstances.
25k. BRAND DISCRETION
Vitatyme may establish, modify, pause, or discontinue its PR, gifting, affiliate, ambassador, or creator programs at any time, subject to existing written agreements and applicable law.
Vitatyme may determine the recipients, products, quantities, timing, geographic availability, campaign opportunities, and eligibility standards for these programs. Nothing in this Section guarantees any individual equal quantities, recurring shipments, specific products, continued participation, or future collaboration.
Vitatyme may also decline, suspend, or terminate a PR, affiliate, ambassador, spokesperson, event, or creator relationship for legitimate and nondiscriminatory brand-safety reasons. These reasons may include conduct or content reasonably believed to involve antisemitism, racism, hate speech, harassment, threats, promotion of violence, exploitation, unlawful discrimination, fraud, criminal conduct, dangerous misinformation, material dishonesty, repeated violation of disclosure or product-claim requirements, or conduct reasonably likely to cause substantial harm to Vitatyme’s reputation, customers, community, or business relationships.
Creators remain free to express personal opinions regarding political, religious, cultural, geopolitical, social-justice, or public-policy matters in their individual capacity. However, they may not state or imply that Vitatyme sponsors, endorses, funds, or shares those views unless Vitatyme has expressly authorized that representation in writing.
For creators serving as paid representatives, ambassadors, affiliates, contractors, or sponsored partners, Vitatyme may exercise any suspension, content-removal, termination, morality, reputation, or brand-safety rights contained in the applicable written agreement. For a no-obligation PR recipient, Vitatyme may request an appropriate correction or removal but does not claim ownership or editorial control over the recipient’s independent content merely because complimentary products were sent.
All creator, affiliate, PR, and event-participation decisions will be based on lawful business considerations and not on race, color, religion, national origin, ancestry, age, disability, sex, sexual orientation, gender identity or expression, or any other status protected by applicable law. Nothing in this Section prevents Vitatyme from selecting creators according to legitimate considerations such as audience alignment, content quality, engagement, geographic location, campaign needs, availability, professionalism, prior performance, safety, capacity, or consistency with documented brand values.
26. VITATYME EVENTS AND WELLNESS ACTIVITIES
Vitatyme may host or participate in dinners, seasonal gatherings, sound baths, meditation sessions, journaling activities, intention-setting exercises, symbolic release or burn rituals, product experiences, educational discussions, creator events, wellness activities, and similar in-person or virtual experiences.
Event details, activities, eligibility requirements, and participation rules may vary. Registration, an invitation, or an event ticket does not guarantee admission when capacity, safety, identification, eligibility, conduct, or other reasonable requirements have not been satisfied.
26b. SEPARATE EVENT TERMS AND WAIVERS
Certain events may require participants to accept event-specific terms, sign an assumption-of-risk and liability waiver, provide emergency information, sign a photography or appearance release, or complete another consent document before participating.
The event-specific documents supplement these Terms and will control with respect to the particular event if a conflict exists. A person who declines a required waiver or consent may be unable to participate in some or all event activities.
Guests brought by an invited participant must separately satisfy all applicable registration, age, waiver, identification, and participation requirements.
26c. VOLUNTARY PARTICIPATION
Participation in every event activity is voluntary. Attendees may decline an exercise, pause, step outside, or leave an activity at any time, subject to reasonable safety and reentry procedures.
Attendees are responsible for deciding whether an event or activity is appropriate for them. Anyone who is pregnant, nursing, taking medication, managing a physical or mental-health condition, sensitive to sound, light, smoke, heat, scents, breathwork, meditation, or emotional exercises, or otherwise uncertain about participating should consult an appropriate licensed professional beforehand.
Vitatyme events, facilitators, speakers, and materials do not provide medical care, psychotherapy, crisis treatment, diagnosis, or individualized medical or mental-health advice.
26d. EMOTIONAL AND SENSORY EXPERIENCES
Sound baths, meditation, guided reflection, journaling, intention-setting, discussions, and release rituals may create strong, unexpected, or uncomfortable emotional responses. Participants may experience sadness, anxiety, memories, vulnerability, sensory discomfort, fatigue, or other emotional or physical reactions.
These reactions do not mean that Vitatyme or an event facilitator is providing mental-health treatment. Participants remain responsible for their personal boundaries and may stop participating at any time. Anyone experiencing significant distress or a mental-health emergency should seek assistance from an appropriate licensed professional or emergency service.
Participants must respect the privacy and personal boundaries of other attendees. Vitatyme cannot guarantee that another attendee will maintain confidentiality, and participants should not disclose information they would not want shared outside the event.
26e. SOUND BATHS, MEDITATION AND MOVEMENT
Sound, vibration, music, silence, lighting, seated or reclining positions, breathing exercises, and gentle movement may be used during an event. Possible risks include temporary dizziness, lightheadedness, sensory overstimulation, emotional discomfort, muscle discomfort, headache, aggravation of tinnitus, or an unexpected reaction.
Participants should follow facilitator instructions, use only movements appropriate for their abilities, remain hydrated, and immediately stop any activity that causes pain, dizziness, shortness of breath, panic, or other concerning symptoms.
26f. SYMBOLIC RELEASE AND BURN RITUALS
Any activity involving candles, flame, heat, smoke, incense, heated materials, or the burning of written intentions carries inherent risks, including burns, smoke exposure, respiratory irritation, fire, and damage to personal property.
Participants must follow all staff, facilitator, venue, and fire-safety instructions. Only authorized materials may be placed in a designated container or flame area. Participants may not light, move, extinguish, or handle any flame or heated container unless specifically authorized and supervised.
Vitatyme may replace an open-flame activity with a flame-free symbolic alternative, restrict participation, or cancel the activity because of venue rules, weather, air quality, fire restrictions, safety concerns, or legal requirements. A flame-free alternative should be available to any participant who does not wish to participate near smoke or fire.
26g. FOOD, BEVERAGES, SUPPLEMENTS AND ALLERGENS
Events may include meals, beverages, samples, supplements, or products prepared or supplied by third parties. Ingredients and known allergens may be provided when reasonably available, but Vitatyme cannot guarantee that food, beverages, or products are free from allergens, cross-contact, contamination, or ingredients that may interact with a participant’s health condition or medication.
Attendees are responsible for reviewing available ingredient information, disclosing relevant dietary restrictions when requested, carrying any necessary medication, and deciding whether to consume an offered item. No attendee is required to consume a Vitatyme product or any food or beverage to participate in an event.
26h. ASSUMPTION OF INHERENT RISKS
To the fullest extent permitted by applicable law, attendees knowingly and voluntarily assume the ordinary and inherent risks associated with the event activities they choose to participate in, including risks arising from sound, movement, meditation, emotional exercises, food or beverage consumption, crowds, slips and falls, transportation, outdoor conditions, and supervised flame or heat activities.
To the fullest extent permitted by law, Vitatyme and its owners, employees, contractors, facilitators, vendors, venues, sponsors, and representatives will not be responsible for injury, illness, emotional distress, loss, theft, damage, or expense resulting solely from an inherent risk of an activity, an attendee’s undisclosed condition, an attendee’s failure to follow instructions, or the acts of another attendee or independent third party.
Nothing in these Terms releases liability that cannot legally be waived, including liability arising from gross negligence, reckless or willful misconduct, or another non-waivable legal duty.
26i. PERSONAL PROPERTY AND TRANSPORTATION
Attendees are responsible for their personal property and for arranging safe transportation to and from an event. Vitatyme is not responsible for lost, stolen, unattended, or damaged personal items except where liability cannot legally be excluded.
Unless expressly stated, transportation, parking, lodging, childcare, and other personal expenses are not included with an invitation or event registration.
26j. ATTENDEE CONDUCT AND REMOVAL
Attendees must follow event, venue, safety, privacy, and conduct rules and must behave respectfully toward staff, facilitators, vendors, and other participants.
Vitatyme may refuse admission or remove an attendee whose conduct is disruptive, threatening, unsafe, intoxicated, harassing, unlawful, destructive, or materially interferes with the event or another attendee’s experience. Removal for a material violation may occur without a refund where permitted by law and disclosed event terms.
Vitatyme’s beauty and wellness events may be created primarily with women’s interests, experiences, and community in mind. Women-centered programming may address topics such as menstrual cycles, hormonal wellness, pregnancy, postpartum experiences, menopause, beauty, self-care, emotional wellness, and other life experiences that may not apply equally to every attendee.
Unless an event is lawfully structured as a private gathering with different eligibility requirements reviewed by legal counsel, Vitatyme will administer admission, participation, safety, and conduct policies without discrimination based on race, color, religion, national origin, ancestry, age, disability, sex, sexual orientation, gender identity or expression, or another status protected by applicable law.
No person is guaranteed admission merely because an event’s subject matter relates to that person. Invitations and registrations may be limited according to lawful and consistently applied considerations such as capacity, age requirements, prior registration, geographic location, campaign purpose, creator or customer status, availability, safety, conduct, accessibility, and other legitimate event needs.
All attendees, regardless of identity or background, must comply with the same conduct, privacy, consent, and safety expectations. Vitatyme may refuse admission or remove any attendee because of that person’s conduct—including harassment, threats, disruption, boundary violations, unsafe behavior, or failure to follow event rules—provided that the decision is not based on a legally protected characteristic.
26k. PHOTOGRAPHY, RECORDING AND PUBLICITY
Vitatyme will provide reasonable notice when photography, audio recording, or video recording is expected at an event. Attendance alone should not be treated as consent for unrestricted commercial use of an attendee’s identity when separate consent is legally required.
Vitatyme may designate recording areas and provide a reasonable method for attendees to identify themselves as not wishing to be photographed when practicable. Any use of a creator’s or attendee’s name, image, likeness, voice, testimonial, or interview for advertising or other promotional purposes may require a separate written appearance or content release.
Attendees may not record private conversations, restricted activities, confidential materials, or another person who has declined to be recorded.
26l. EVENT CHANGES, CANCELLATION AND EMERGENCIES
Vitatyme may change an event’s schedule, venue, facilitator, menu, format, capacity, or activities when reasonably necessary because of safety, weather, illness, venue requirements, availability, legal restrictions, emergencies, or circumstances beyond Vitatyme’s reasonable control.
In an emergency, attendees must follow instructions from venue personnel, event staff, security, and emergency responders. Vitatyme may contact emergency services or an attendee’s designated emergency contact when reasonably believed necessary for health or safety.
Any refund, credit, rescheduling, or cancellation rights will be governed by the event-specific terms and applicable law.
27. ARBITRATION AGREEMENT AND DISPUTE RESOLUTION
PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR THE LIMITED EXCEPTIONS DESCRIBED BELOW, THIS SECTION REQUIRES YOU AND VITATYME TO RESOLVE DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION INSTEAD OF A COURT OR JURY TRIAL. IT ALSO PROHIBITS CLASS, COLLECTIVE, CONSOLIDATED, AND REPRESENTATIVE ACTIONS.
This arbitration agreement is governed by the Federal Arbitration Act and applies to the fullest extent permitted by applicable law.
27b. DISPUTES COVERED
Except for the exclusions stated below, you and Vitatyme agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Website, an order, product, subscription, payment, promotion, communication, event, affiliate relationship, or interaction with Vitatyme will be resolved through individual binding arbitration.
This agreement applies to claims based in contract, tort, warranty, statute, regulation, misrepresentation, negligence, consumer protection, privacy, equity, or any other legal theory and applies to disputes arising before or after acceptance of these Terms.
A separate signed agreement may contain different dispute-resolution provisions. If so, the signed agreement will control with respect to the subject matter it covers.
27c. INFORMAL DISPUTE RESOLUTION
Before beginning arbitration, the party asserting a claim must provide the other party with an individual written notice describing:
- The name and contact information of the person asserting the claim;
- The applicable order, subscription, account, or transaction information;
- The factual and legal basis of the claim;
- The amount or specific relief requested; and
- A good-faith explanation of how the dispute could be resolved.
A customer may submit this notice through the contact method identified on the Website with the subject line “NOTICE OF DISPUTE.” Vitatyme may send its notice to the most recent email or mailing address associated with the customer’s order or account.
The parties will have 30 days after receipt of a complete notice to attempt to resolve the dispute informally. Any applicable limitations period will be suspended during this 30-day period to the extent permitted by law. Neither party may initiate arbitration until this informal-resolution process has been completed, unless immediate action is reasonably necessary to prevent irreparable harm or preserve a legal right.
27d. ARBITRATION ADMINISTRATOR AND RULES
Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules and, where applicable, its Mass Arbitration Supplementary Rules in effect when the arbitration is filed, as modified by this Section.
The arbitrator will be neutral and will have the authority to resolve disputes concerning the interpretation, applicability, enforceability, formation, or scope of this arbitration agreement, except that a court of competent jurisdiction will decide any dispute concerning the enforceability of the class-action waiver.
If the American Arbitration Association is unable or unwilling to administer the arbitration consistently with this Section, the parties will attempt in good faith to select another nationally recognized arbitration administrator. If they cannot agree, a court of competent jurisdiction may appoint an administrator or arbitrator as permitted by applicable law.
27e. LOCATION AND METHOD OF ARBITRATION
The arbitration may be conducted through the submission of documents, by telephone, by videoconference, or through an in-person hearing, as permitted by the applicable arbitration rules.
A consumer may elect a reasonably accessible hearing location consistent with applicable consumer-arbitration rules and law. Vitatyme will not require a consumer to travel to Nevada when doing so would unreasonably prevent the consumer from pursuing a claim.
27f. ARBITRATION FEES AND ATTORNEY’S FEES
Consumer arbitration fees will be allocated according to the applicable Consumer Arbitration Rules and governing law. The consumer will not be required to pay more in administrative arbitration fees than the amount permitted under those rules.
Vitatyme will pay the remaining administrative fees and arbitrator compensation that it is required to pay under the applicable rules. Each party will ordinarily be responsible for its own attorney’s fees and expenses unless an applicable statute, arbitration rule, or arbitration award permits those fees or expenses to be recovered.
Vitatyme will not seek reimbursement of arbitration fees from an individual consumer unless the arbitrator determines that the consumer’s claim was frivolous or brought for an improper purpose and applicable law permits reimbursement.
27g. ARBITRATOR’S AUTHORITY
The arbitrator may award any individual remedy or relief that would be available to the claimant in court under applicable law, including monetary damages and declaratory or injunctive relief.
The arbitrator must apply these Terms and applicable law and must provide a written decision explaining the essential findings and conclusions supporting the award. Judgment on the arbitration award may be entered in any court having jurisdiction.
The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim. The arbitrator may not award relief for or against anyone who is not a party to the individual arbitration.
27h. SMALL-CLAIMS AND GOVERNMENT-AGENCY EXCEPTIONS
Either party may bring an eligible individual claim in small-claims court instead of arbitration, provided that the claim remains in that court and proceeds only on an individual basis.
Nothing in this Section prevents either party from seeking temporary or preliminary injunctive relief from a court when reasonably necessary to prevent immediate and irreparable harm pending completion of arbitration.
Nothing in these Terms prevents a consumer from reporting a concern, filing a complaint, or communicating with the Federal Trade Commission, Food and Drug Administration, state attorney general, consumer-protection agency, law-enforcement agency, or another government regulator. A government agency may pursue relief to the extent authorized by law.
Vitatyme may seek appropriate court relief regarding actual or threatened infringement, misuse, or misappropriation of intellectual property, confidential information, or trade secrets.
27i. WAIVER OF JURY TRIAL
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND VITATYME EACH KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO HAVE A COVERED DISPUTE DECIDED BY A JUDGE OR JURY IN COURT.
Arbitration uses a neutral arbitrator instead of a judge or jury. Arbitration procedures may be more limited than court procedures, and judicial review of an arbitration award is limited.
27j. CLASS-ACTION WAIVER
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND VITATYME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY.
Neither party may bring, join, or participate in a class, collective, coordinated, consolidated, mass, or representative action or arbitration, except to the extent that coordinated administration is expressly required under applicable arbitration rules and does not result in claims being decided on a class or representative basis.
The arbitrator may not combine the claims of more than one person or preside over any form of class, collective, consolidated, or representative proceeding without the express written consent of all affected parties.
27k. RIGHT TO OPT OUT OF ARBITRATION
You may opt out of this arbitration agreement by sending Vitatyme a written notice through the contact method identified on the Website with the subject line “ARBITRATION OPT-OUT” no later than 30 days after you first affirmatively accept this arbitration agreement.
The notice must include your full name, the email address associated with your account or order, any applicable order number, and a clear statement that you are opting out of the arbitration agreement.
Opting out of arbitration will not affect your ability to purchase products, maintain a subscription, use the Website, or receive services from Vitatyme. An opt-out applies only to the person who properly submitted it and does not constitute an opt-out for anyone else.
27l. SPECIFIC AND AFFIRMATIVE AGREEMENT
This arbitration provision requires specific and affirmative agreement. Where required by law, merely visiting the Website or reviewing these Terms will not constitute acceptance of this arbitration agreement.
Vitatyme may require you to affirmatively select a checkbox, button, or similar electronic acknowledgment confirming that you have read and agreed to this arbitration agreement. The date and method of acceptance may be recorded and retained as evidence of agreement.
27m. SEVERABILITY
If any portion of this arbitration agreement is found unenforceable, that portion will be severed or limited to the minimum extent necessary, and the remaining provisions will remain effective.
If the class-action waiver is finally determined to be unenforceable with respect to a particular claim or request for relief, that claim or request will proceed in a court of competent jurisdiction and not in class arbitration. Any enforceable individual claims may be stayed pending resolution of the court proceeding where permitted by law.
If applicable law prohibits arbitration of a particular claim, that claim may proceed in court while the remaining arbitrable claims remain subject to this Section.
28. EXCLUSIONS AND LIMITATIONS OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE LIMITATIONS IN THIS SECTION APPLY TO VITATYME AND ITS OWNERS, PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS.
These limitations apply regardless of the form of action or legal theory asserted, including contract, tort, negligence, strict liability, warranty, statute, misrepresentation, restitution, or equity.
28b. WEBSITE, INFORMATION AND DIGITAL SERVICES
Except for any express warranty provided by Vitatyme or any warranty that cannot legally be excluded, the Website and its digital content and functionality are provided on an “as available” basis.
Vitatyme does not guarantee that the Website, customer account, subscription portal, payment system, promotional feature, communication system, or other digital service will always be uninterrupted, secure, complete, current, or error-free.
Vitatyme is not responsible for temporary outages, transmission failures, corrupted data, compatibility problems, malicious code introduced by third parties, unauthorized third-party access, or failures of internet, telecommunications, hosting, payment, subscription-management, ecommerce, security, or other third-party systems, except to the extent liability cannot legally be excluded.
Nothing in this Section changes Vitatyme’s obligation to correct an erroneous charge, protect personal information as required by law, provide an ordered product, or issue any legally required remedy.
28c. THIRD-PARTY PRODUCTS AND SERVICES
The Website and Vitatyme’s operations may rely on or link to third-party services, including ecommerce platforms, subscription-management systems, payment processors, package-protection providers, carriers, warehouses, manufacturers, social-media platforms, event venues, facilitators, and affiliate platforms.
Vitatyme is not responsible for the independent acts, omissions, content, policies, security practices, availability, errors, or unlawful conduct of a third party that Vitatyme does not control. A third party’s terms and privacy practices may separately govern the customer’s use of that service.
This limitation does not excuse Vitatyme from an obligation imposed directly on Vitatyme by applicable law or from responsibility for Vitatyme’s own conduct.
28d. EXCLUDED DAMAGES
TO THE FULLEST EXTENT PERMITTED BY LAW, VITATYME WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE WEBSITE, PRODUCTS, SUBSCRIPTIONS, EVENTS, SERVICES, OR THESE TERMS.
This exclusion includes, where legally permitted, loss of profits, revenue, business opportunity, goodwill, reputation, anticipated savings, data, or access and the cost of substitute goods or services, even if Vitatyme was advised that such damages were possible.
This exclusion does not apply to a remedy or category of damages that applicable law does not permit Vitatyme to exclude.
28e. MAXIMUM LIABILITY
For claims not involving personal injury, death, fraud, gross negligence, willful misconduct, or a non-waivable statutory right, Vitatyme’s aggregate liability arising from a particular transaction or occurrence will not exceed the greater of:
- The amount the claimant actually paid to Vitatyme for the product, order, subscription, event, or service giving rise to the claim during the 12 months preceding the event giving rise to liability; or
- One hundred United States dollars.
The existence of more than one claim will not enlarge this limitation. This limitation applies only to the fullest extent permitted by applicable law.
28f. PRODUCT USE AND INDIVIDUAL RESULTS
Individual responses to foods, dietary supplements, herbs, nutrients, probiotics, wellness practices, and beauty products vary. Vitatyme does not guarantee that every customer will experience a particular beauty, wellness, digestive, hormonal, hair, skin, energy, or other result.
Customers are responsible for reviewing product labels, ingredient lists, suggested-use instructions, warnings, allergen information, and other information supplied with a product. Customers should consult an appropriate licensed healthcare professional before using a product when pregnant, nursing, taking medication, managing a medical condition, preparing for surgery, or uncertain whether an ingredient is appropriate.
Nothing in this Section eliminates any responsibility Vitatyme may have for a defective product, legally inadequate warning, breach of an applicable express warranty, or another obligation that cannot lawfully be disclaimed or limited.
28g. USER AND THIRD-PARTY CONDUCT
Vitatyme is not responsible for defamatory, offensive, fraudulent, infringing, discriminatory, threatening, unlawful, or otherwise improper conduct or content created solely by an independent customer, creator, affiliate, event attendee, platform user, or other third party that Vitatyme does not control.
This limitation does not prevent Vitatyme from moderating content, enforcing its policies, ending a relationship, reporting unlawful activity, or taking other action Vitatyme considers appropriate. It also does not exclude liability for Vitatyme’s own unlawful conduct or for third-party conduct that applicable law directly attributes to Vitatyme.
28h. ESSENTIAL PURPOSE AND ALLOCATION OF RISK
The exclusions and limitations in this Section reflect a reasonable allocation of risk between the parties and are an essential basis of the transactions contemplated by these Terms.
Each limitation is intended to apply independently, even if another remedy fails of its essential purpose, but only to the extent permitted by applicable law.
28i. NON-WAIVABLE RIGHTS
Nothing in these Terms excludes or limits liability for fraud, gross negligence, reckless or willful misconduct, or death or personal injury to the extent such liability cannot legally be excluded or limited.
Nothing in these Terms waives a warranty, remedy, consumer-protection right, product-liability right, privacy right, or other legal protection that cannot lawfully be waived. Customers residing in jurisdictions that do not permit certain exclusions or limitations will receive the protections required by the laws applicable to them.
29. INDEMNIFICATION
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Vitatyme and its owners, parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, agents, representatives, service providers, licensors, successors, and assigns from and against third-party claims, liabilities, judgments, damages, losses, penalties, costs, and reasonable legal fees arising out of or relating to:
- Your unlawful or unauthorized use of the Website, products, services, subscriptions, events, creator materials, or Vitatyme intellectual property;
- Your material breach of these Terms or another agreement you have accepted with Vitatyme;
- Content, reviews, photographs, videos, testimonials, claims, statements, or other materials you submit, publish, distribute, or authorize;
- Your infringement, misappropriation, or violation of another person’s intellectual-property, privacy, publicity, confidentiality, contractual, or other legal rights;
- Fraud, intentional misrepresentation, willful misconduct, harassment, unlawful discrimination, threats, or other unlawful conduct by you;
- Unauthorized medical, disease, performance, or product claims made by a creator, affiliate, ambassador, or other person acting on your behalf; or
- Your conduct at a Vitatyme event, including injury, loss, or damage caused by your violation of event rules or safety instructions.
29b. INDEMNIFICATION PROCEDURE
Vitatyme will provide reasonably prompt notice of a covered third-party claim when practicable. Failure to provide immediate notice will reduce your obligations only to the extent the delay materially prejudices your ability to defend the claim.
Vitatyme may control the defense and settlement of a covered claim using counsel of its choosing. You agree to provide reasonable cooperation and may participate through separate counsel at your own expense.
You may not settle a claim in a manner that admits wrongdoing by Vitatyme, imposes an obligation on Vitatyme, restricts Vitatyme’s business, or fails to provide Vitatyme with an unconditional release without Vitatyme’s prior written consent.
29c. LIMITATIONS
This Section does not require a consumer to indemnify Vitatyme for Vitatyme’s own gross negligence, willful misconduct, fraud, unlawful conduct, or another obligation that cannot legally be transferred or waived.
Indemnification obligations applicable to a creator, affiliate, ambassador, contractor, vendor, facilitator, or other commercial partner may be expanded or modified by a separate written agreement.
30. DISCLAIMERS
THE WEBSITE, DIGITAL CONTENT, EDUCATIONAL MATERIALS, CUSTOMER-ACCOUNT FEATURES, SUBSCRIPTION-MANAGEMENT FEATURES, AND OTHER ONLINE SERVICES ARE PROVIDED ON AN “AS AVAILABLE” BASIS TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
VITATYME DOES NOT WARRANT THAT THE WEBSITE OR ANY DIGITAL SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, COMPLETE, ACCURATE, COMPATIBLE WITH EVERY DEVICE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
30b. PRODUCT WARRANTIES
EXCEPT FOR AN EXPRESS WRITTEN WARRANTY SPECIFICALLY IDENTIFIED AS A WARRANTY AND ANY WARRANTY THAT CANNOT LEGALLY BE DISCLAIMED, VITATYME DISCLAIMS ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Some jurisdictions do not permit the exclusion or limitation of certain warranties. In those jurisdictions, this disclaimer applies only to the extent legally permitted and does not eliminate any non-waivable warranty or consumer remedy.
Nothing in this Section excuses Vitatyme from providing a product that materially conforms to its description and labeling or from providing a remedy required by applicable law for a defective, damaged, incorrect, recalled, adulterated, or otherwise nonconforming product.
30c. NO GUARANTEE OF INDIVIDUAL RESULTS
Individual results from dietary supplements, foods, herbs, probiotics, nutrients, beauty products, wellness practices, and lifestyle changes vary. Product descriptions, customer experiences, creator content, testimonials, educational materials, and before-and-after content do not constitute a promise or guarantee that every customer will experience the same result.
The appearance of a product, label, bottle, package, capsule, gummy, powder, color, texture, or other non-material characteristic may vary slightly from photographs or between production batches without changing the product’s identity, labeled contents, or intended use.
30d. NO MEDICAL OR PROFESSIONAL ADVICE
Content made available by Vitatyme is provided for general educational and informational purposes. It is not medical advice and is not intended to diagnose, treat, cure, or prevent any disease or replace advice, diagnosis, or treatment from a qualified healthcare professional.
You should not disregard professional medical advice or delay seeking medical care because of information obtained through the Website, an event, an email, social media, a creator, customer support, or other Vitatyme content.
If you experience a suspected allergic reaction, serious adverse event, medical emergency, or other urgent health concern, discontinue use as appropriate and contact a qualified healthcare professional or emergency service.
30e. THIRD-PARTY INFORMATION
Vitatyme may display, link to, integrate with, or reference information and services provided by manufacturers, laboratories, payment processors, subscription-management platforms, carriers, package-protection providers, creators, affiliates, event vendors, social-media platforms, and other independent third parties.
Vitatyme does not guarantee the continued availability, completeness, accuracy, security, or performance of a third-party website or service that it does not control. A link, integration, mention, or collaboration does not necessarily constitute Vitatyme’s endorsement of every statement, policy, product, service, or opinion associated with that third party.
This disclaimer does not eliminate any responsibility that applicable law directly imposes on Vitatyme.
30f. NON-WAIVABLE RIGHTS
These disclaimers must be read together with the limitations of liability contained in Section 28. Nothing in these Terms excludes liability for fraud, gross negligence, reckless or willful misconduct, personal injury, defective products, legally inadequate warnings, breach of an applicable express warranty, or another matter to the extent such liability cannot legally be disclaimed or limited.
30g. FDA DISCLAIMER
Certain statements made by Vitatyme regarding dietary supplements describe the intended effect of a nutrient or dietary ingredient on the normal structure or function of the human body or general well-being. Where required, those statements are subject to the following disclaimer:
THESE STATEMENTS HAVE NOT BEEN EVALUATED BY THE FOOD AND DRUG ADMINISTRATION. THIS PRODUCT IS NOT INTENDED TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY DISEASE.
This disclaimer does not mean that Vitatyme products are approved by the Food and Drug Administration, and it does not permit Vitatyme or any creator, affiliate, customer, or representative to make unlawful disease-treatment or disease-prevention claims.
30h. INDIVIDUAL HEALTH CONDITIONS AND RESPONSES
Dietary supplements, foods, herbs, botanicals, probiotics, vitamins, minerals, and other ingredients may affect individuals differently. A product that is appropriate for one person may be inappropriate for another because of allergies, sensitivities, medical or mental-health conditions, medications, other supplements, diet, age, pregnancy, nursing, surgery, genetics, lifestyle, or other individual circumstances.
Vitatyme does not represent that any product is appropriate, effective, or free from possible side effects for every individual. The fact that a symptom or health event occurs during or after use of a product does not, by itself, establish that the product caused or contributed to that event. Vitatyme may evaluate any reported event using the product, lot information, manner of use, timing, available medical information, manufacturing records, and other relevant evidence.
Nothing in this Section eliminates Vitatyme’s responsibility for a defective, contaminated, adulterated, mislabeled, or improperly manufactured product or another obligation that cannot legally be waived.
30i. CUSTOMER RESPONSIBILITY AND PROPER USE
Before using a product, customers are responsible for reviewing the complete label, ingredient list, allergen information, suggested use, serving instructions, warnings, expiration date, and storage requirements.
Customers must not exceed the labeled serving, use a product contrary to its instructions, use a product with a broken or missing safety seal, continue using an expired or visibly damaged product, or combine products in a manner that creates excessive intake or a known interaction.
Customers should consult an appropriately qualified healthcare professional before use if they are pregnant, nursing, taking prescription or over-the-counter medication, preparing for surgery, managing a physical or mental-health condition, sensitive to an ingredient, or uncertain whether a product is appropriate for them.
To the fullest extent permitted by law, Vitatyme is not responsible for an adverse result caused solely by misuse, excessive consumption, improper storage, use contrary to a clear warning, unauthorized alteration, use by an ineligible person, or failure to follow material label instructions. This limitation does not apply when applicable law assigns responsibility to Vitatyme.
30j. TESTIMONIALS, BEFORE-AND-AFTER CONTENT AND EXPECTED RESULTS
Testimonials, reviews, creator content, before-and-after images, founder experiences, and customer stories describe individual experiences and do not guarantee that another person will experience the same result.
Results may vary based on product usage, consistency, age, health, diet, genetics, medications, other products, lifestyle, and other individual factors. Vitatyme does not promise a particular physical, emotional, mental, beauty, wellness, hair, skin, digestive, hormonal, weight-related, or other result unless that promise is expressly stated and supported by legally sufficient evidence.
Vitatyme will not knowingly present an exceptional result as the result consumers should generally expect. Where a testimonial communicates a specific measurable result, Vitatyme may provide additional information regarding the generally expected result when required by applicable advertising law.
Testimonials and before-and-after content are not medical evidence and may not be interpreted as a diagnosis, treatment recommendation, or guarantee of safety or effectiveness.
30k. ADVERSE REACTIONS AND SAFETY REPORTING
If you believe that you are experiencing an adverse reaction, discontinue use as appropriate and contact a qualified healthcare professional. Seek immediate emergency assistance for a life-threatening reaction, difficulty breathing, loss of consciousness, severe allergic response, thoughts of self-harm, marked mood or behavioral changes, or another medical emergency.
You should promptly report a suspected adverse event to Vitatyme using the contact information provided on the product label or Website. When available, include the product name, lot or batch number, expiration date, purchase information, serving used, dates of use, other medications or supplements used, symptoms experienced, and relevant medical treatment.
Vitatyme may request that you preserve the remaining product, container, label, and packaging while a report is evaluated. Vitatyme may contact the reporting person, healthcare providers with appropriate authorization, the manufacturer, laboratory, insurer, governmental agency, or another appropriate party to investigate and fulfill safety or reporting obligations.
Vitatyme may maintain records, submit legally required reports, communicate safety information, suspend distribution, or conduct a withdrawal or recall when appropriate. Receiving, investigating, or reporting an adverse event does not constitute an admission that a Vitatyme product caused or contributed to the event.
Nothing in these Terms prevents a customer or healthcare professional from independently reporting an adverse event to the Food and Drug Administration or another government authority.
30l. ASSUMPTION OF DISCLOSED AND ORDINARY RISKS
By voluntarily choosing to use a product after reviewing its ingredients, directions, and warnings, you acknowledge that dietary supplements and ingestible products may carry ordinary and disclosed risks of individual intolerance, sensitivity, allergy, interaction, or side effect.
To the fullest extent permitted by law, you accept the ordinary risks that were clearly disclosed and that do not result from a product defect, contamination, adulteration, legally inadequate warning, gross negligence, willful misconduct, or another matter for which liability cannot legally be waived.
31. AGE RESTRICTIONS AND MINORS
The Website, products, subscriptions, accounts, promotions, and commercial services are intended for adults.
You must be at least 18 years old and have reached the legal age of majority in your jurisdiction to create an account, place an order, enroll in a subscription, enter into a creator or affiliate relationship, or otherwise enter into a binding agreement with Vitatyme.
By completing such an action, you represent that you satisfy these requirements and have the legal capacity to agree to these Terms.
31b. CHILDREN UNDER 13
The Website is not directed to children under 13 years of age, and children under 13 are not permitted to create an account, place an order, enroll in a subscription, submit personal information, or otherwise use an interactive feature of the Website.
Vitatyme does not knowingly collect personal information online from children under 13 without legally required parental consent. If Vitatyme learns that personal information was collected from a child under 13 in a manner not permitted by law, Vitatyme may delete the information and terminate the associated account or transaction.
A parent or legal guardian who believes that a child has provided personal information to Vitatyme should contact Vitatyme using the contact information provided on the Website.
31c. USERS BETWEEN 13 AND THE AGE OF MAJORITY
A person who is at least 13 but has not reached the applicable age of majority may view nonrestricted portions of the Website only under the supervision of a parent or legal guardian.
Such a person may not independently create an account, place an order, enroll in a subscription, submit a PR or affiliate application, agree to arbitration, register for an adult event, or enter into another binding transaction with Vitatyme.
A parent or legal guardian who permits a minor to access the Website is responsible for supervising that access and for the minor’s compliance with these Terms.
31d. PRODUCTS AND MINORS
Vitatyme products are intended for adults unless the applicable product label expressly states otherwise.
A parent or legal guardian should not purchase or administer a Vitatyme dietary supplement for use by a minor unless the product labeling permits that use and an appropriately qualified healthcare professional has determined that the product and serving are suitable for that minor.
Products must be stored securely and kept out of reach of children as instructed on the applicable label. A parent, guardian, purchaser, or caregiver is responsible for reviewing the complete label, ingredients, warnings, serving instructions, and allergen information before providing any product to a minor.
31e. AGE VERIFICATION AND CANCELLATION
Vitatyme may use reasonable methods to verify age and legal eligibility and may refuse or cancel an account, order, subscription, promotion entry, event registration, affiliate application, or other transaction when Vitatyme reasonably believes the applicable age requirements have not been satisfied.
If an order is canceled solely because the purchaser was not legally eligible to complete the transaction, Vitatyme will return any amount paid for an unfulfilled product as required by applicable law.
32. SUSPENSION AND TERMINATION
Vitatyme may suspend, restrict, or terminate your account or access to all or part of the Website if we reasonably believe that you have violated these Terms, engaged in fraudulent, abusive, unlawful, threatening, or harmful conduct, misused a promotion or subscription program, compromised Website security, infringed another person’s rights, or created a legal, regulatory, security, safety, or reputational risk for Vitatyme or others.
Vitatyme may also modify, suspend, discontinue, or restrict any portion of the Website, services, features, programs, or content at any time, with or without notice, to the extent permitted by applicable law. Any decision concerning access will be made on lawful and nondiscriminatory grounds.
Termination or suspension of Website access does not eliminate obligations arising before termination, affect rights or remedies that have already accrued, or eliminate any refund, replacement, cancellation, or other remedy required by applicable law. Provisions that by their nature should survive termination—including intellectual-property rights, disclaimers, limitations of liability, indemnification, dispute resolution, and governing-law provisions—will remain in effect.
33. NOTICES AND ELECTRONIC COMMUNICATIONS
By using the Website, creating an account, making a purchase, or enrolling in a subscription, you consent to receive transactional and legally required communications from Vitatyme electronically, including by email, through your customer account, or by notices posted on the Website, except where applicable law requires another method of delivery.
You are responsible for maintaining an accurate and current email address and for reviewing communications sent to that address. Electronic communications satisfy any requirement that a communication be provided in writing to the extent permitted by applicable law.
Questions, complaints, and ordinary customer-service communications may be submitted through the Contact Us form or through the customer-service contact information displayed on the Website. Formal legal notices to Vitatyme must be delivered to the business mailing address identified in these Terms or on the Website using a method that provides confirmation of delivery.
34. GOVERNING LAW AND VENUE
Except as otherwise provided in the Arbitration section, these Terms and any dispute arising from or relating to these Terms, the Website, Vitatyme products, subscriptions, events, or services will be governed by the laws of the State of Nevada, without regard to its conflict-of-law principles.
The Federal Arbitration Act governs the interpretation and enforcement of the Arbitration section. For any dispute that is not required to be arbitrated and is not properly brought in small-claims court, the parties consent to the exclusive jurisdiction and venue of the state or federal courts located in Clark County, Nevada.
Nothing in these Terms is intended to deprive a consumer of any non-waivable protection provided by the law of the consumer’s state or country of residence.
35. GENERAL PROVISIONS
These Terms, together with any policies, disclosures, product-specific terms, subscription terms, event releases, promotion rules, or other terms expressly incorporated by reference, constitute the entire agreement between you and Vitatyme concerning the matters they address and supersede prior or contemporaneous communications concerning those matters.
If any provision of these Terms is determined to be illegal, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or modified only to the minimum extent necessary to make it enforceable. The remaining provisions will continue in full force and effect.
Vitatyme’s failure or delay in enforcing any provision does not waive its right to enforce that provision or any other provision later. Any waiver must be expressly made in writing by an authorized representative of Vitatyme.
You may not assign or transfer your rights or obligations under these Terms without Vitatyme’s prior written consent. Vitatyme may assign or transfer its rights and obligations in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, change of control, or transfer of the Website or business, subject to applicable law.
Section headings are included for convenience and do not limit the meaning of any provision. Unless expressly stated otherwise, these Terms do not create rights in favor of any third-party beneficiary.
36. NOTICE TO CALIFORNIA RESIDENTS
